Procedures for Renewal of License for Establishment of Foreign Representative Office
At least 30 days before the License to establish a Representative Office expires. Foreign traders must carry out the renewal procedures and send them to the licensing agency to carry out the procedures for renewing the representative office license.
In case traders carry out procedures after the license expires and are not eligible for extension, they will be subject to administrative penalties as prescribed in Article 85 of Decree 185/2013/ND-CP (except for legitimate reasons). resulting in a delay in renewal).
Legal basis
Decree No. 07/2016/ND-CP stipulating and guiding procedures for renewal of the license to establish a foreign representative office; Circular 11/2016/TT-BCT stipulating the form for carrying out the procedures for extending the license to establish a foreign representative office.
Conditions for Renewal of Foreign Representative Office License
↪️ The foreign trader is still operating in the country where the trader was established.
↪️ The representative office in Vietnam is still operating and has not violated the regulations on the operation license of the office.
↪️ Representative office license must have at least 30 days remaining and must go through the Renewal procedure.
Cases in which the procedures for renewal of representative office licenses are not allowed
a) Quoted in Article 44. Cases of revocation of a representative office establishment license: A representative office or branch will have its establishment license revoked in the following cases:
↪️ Inactive for 1 year and no transactions with the licensing agency. Failure to report on activities of Representative Offices and Branches for 02 consecutive years.
↪️ Failure to send the report as prescribed in Clause 2, Article 32 of Decree No. 07/2016/ND-CP to the licensing agency within 06 months from the deadline for sending the report or request in writing.
↪️ Other cases as prescribed by law.
b) The foreign trader no longer operates or the establishment license has expired in the host country.
c) The representative office is no longer operating at the registered address or the lease contract has expired.
Dossier for extension of establishment license of foreign representative office
➱ An application form for extension of a representative office establishment license (under the form of the Ministry of Industry and Trade, signed by an authorized representative of the foreign trader).
➱ A copy of the business registration certificate or equivalent document of the foreign trader (must be stamped by the Ministry of Foreign Affairs, consular legalized and notarized translation into Vietnamese).
➱ A copy of the audited financial statement or a written certification of tax liability in the latest year (notarized translation into Vietnamese).
➱ A copy of the License for Establishment of the Representative Office that has been issued.
Procedures for renewal of a representative office license of a foreign trader
Step 1: Prepare all documents as prescribed in this Section 4
Step 2: Submit the prepared documents in the following forms: Submit directly at the licensing agency; Submit application by post; Submit online at Public Service (Public Service of Department of Industry and Trade; Public Service of Provincial/City People's Committee; National Public Service).
Step 3: Time limit for settlement Within 03 days from the date of receiving the dossier. The licensing agency will check and if it is not valid, it will issue a written request to the trader to supplement the dossier.
And within 05 days if the application is valid. The Licensing Authority will issue a new License to the trader. In case the license extension has not been specified in specialized legal documents. The licensing agency will consult the specialized management ministry within 03 days.
Within 05 days, after receiving opinions from specialized management ministries on the request for approval or disapproval of the license. And within the next 5 days, the licensing agency will grant a license to the trader or must reply in writing and clearly state the reason for not agreeing to the license.
