What is CHANGE OF COMPANY CHARTER CAPITAL?
In case the company changes its charter capital (increase or decrease in capital) leading to a change in the content on the Certificate of Business Registration. The business owner or legal representative must notify in writing the business registration office where the company's head office is located within 10 days from the date of change. (Excerpt from Article 32 of the Enterprise Law 2014).
What is charter capital?
Charter capital is the total value of assets contributed or committed to contribute by members when establishing a limited liability company or a partnership; is the total par value of shares sold or registered for purchase upon business establishment for a joint-stock company. The charter capital of the enterprise may increase or decrease.
Cases of CHANGE OF CHARTER CAPITAL
The company may increase its charter capital in the following cases:
- Increase member's capital contribution.
- Receiving capital contributions from new members.
The company may reduce its charter capital in the following cases:
- Refund a part of contributed capital to members according to their proportion of contributed capital in the company's charter capital if the company has operated continuously for more than 02 years from the date of business registration and ensures full payment of all expenses. debts and other property obligations after they have been repaid to members.
- Existing members withdraw capital from the company, leading to a change in charter capital.
- A member's failure to contribute enough charter capital as registered leads to a change in the total charter capital on the Enterprise Registration Certificate.
NOTES WHEN CHANGING CHARTER CAPITAL
The above procedure applies to domestic enterprises and foreign-invested enterprises. For enterprises with foreign capital, before proceeding with procedures, the Business Registration Office must make a written approval of capital contribution from the Investment Registration Office in accordance with the provisions of the Investment Law.
